Introduction

Welcome to SynAppz. These Terms of Service ("Terms") govern your access to and use of the SynAppz mobile application and website at synappz.io (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

1. Acceptance of Terms

By creating an account, accessing, or using our Services, you confirm that you are at least 13 years of age and that you understand and agree to these Terms. If you are using the Services on behalf of a company, organization, or other entity, you represent that you have the authority to bind that entity to these Terms.

2. Changes to Terms

We may modify these Terms at any time. If we make changes, we will provide notice by updating the date at the top of these Terms and by maintaining a current version of the Terms at synappz.io/terms. Your continued use of our Services after we post modifications means that you accept and agree to the updated Terms.

3. Account Registration and Security

To use certain features of our Services, you may need to create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We cannot and will not be liable for any loss or damage arising from your failure to comply with the above requirements.

4. User Content

4.1 Content Ownership

You retain ownership rights to content you submit, post, or display on or through the Services ("User Content"). By submitting, posting, or displaying User Content on or through the Services, you grant us a worldwide, non-exclusive, royalty-free license to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute such content in any and all media or distribution methods.

4.2 Content Responsibility

You are solely responsible for your User Content and the consequences of posting or publishing it. By uploading, posting, or otherwise making available any User Content, you affirm, represent, and warrant that:

• You own or have the necessary licenses, rights, consents, and permissions to use and authorize us to use your User Content
• Your User Content does not violate the rights of any third party, including copyright, trademark, privacy, personality, or other personal or proprietary rights
• Your User Content does not contain material that is unlawful, obscene, defamatory, libelous, threatening, pornographic, harassing, hateful, racially or ethnically offensive, or encourages conduct that would be considered a criminal offense

4.3 Content Monitoring

We do not endorse any User Content or any opinion, recommendation, or advice expressed therein, and we expressly disclaim any and all liability in connection with User Content. We reserve the right to remove content that violates these Terms, including content that we determine, in our sole discretion, is unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or otherwise objectionable.

5. Prohibited Conduct

You agree not to engage in any of the following prohibited activities:

• Using the Services for any illegal purpose or in violation of any local, state, national, or international law
• Harassing, threatening, intimidating, or stalking other users
• Impersonating any person or entity, or falsely stating or otherwise misrepresenting your affiliation with a person or entity
• Interfering with or disrupting the Services or servers or networks connected to the Services
• Attempting to gain unauthorized access to the Services, other accounts, computer systems, or networks connected to the Services
• Using any automated system, including "robots," "spiders," or "offline readers" to access the Services
• Transmitting any viruses, worms, defects, Trojan horses, or any items of a destructive nature
• Selling, transferring, or assigning your account, followers, username, or any account rights

6. Intellectual Property Rights

6.1 SynAppz Content

The Services and their original content (excluding User Content), features, and functionality are and will remain the exclusive property of SynAppz and its licensors. The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of SynAppz.

6.2 Feedback

If you provide us with any feedback or suggestions regarding the Services ("Feedback"), you hereby assign to us all rights in such Feedback and agree that we shall have the right to use and fully exploit such Feedback in any manner we deem appropriate.

7. Privacy

Our Privacy Policy, available at synappz.io/privacy, describes how we collect, use, and share information about you when you use our Services. By using our Services, you consent to our collection, use, and sharing of information as described in our Privacy Policy.

8. Third-Party Links and Services

The Services may contain links to third-party websites or services that are not owned or controlled by SynAppz. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You further acknowledge and agree that SynAppz shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.

9. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.

If you wish to terminate your account, you may simply discontinue using the Services or delete your account through the app settings. All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. SYNAPPZ DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SYNAPPZ, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICES.

12. Indemnification

You agree to defend, indemnify, and hold harmless SynAppz and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Services; (ii) your violation of any term of these Terms; (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (iv) any claim that your User Content caused damage to a third party.

13. Governing Law

These Terms shall be governed and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14. Dispute Resolution

Any disputes arising out of or relating to these Terms or the Services will be resolved through binding arbitration in accordance with the American Arbitration Association's rules. The arbitration will be conducted in San Francisco, California, unless we both agree to another location. The award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

15. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms constitute the entire agreement between you and SynAppz regarding our Services, and supersede and replace any prior agreements we might have between us regarding the Services.
